Can I do an inplace upgrade from SQL 2005 Enterprise Edition to SQL Server 2008 Developer edition?

No, you can upgrade SKUs, but not downgrade. This would require an uninstall/reinstall. There are possible upgrade paths here: http://msdn.microsoft.com/en-us/library/ms143393.aspx
